This type of transaction is particularly common in the technology and software industries, where key talent can often be more valuable than the underlying product or service, although it has become more prevalent in other industries as well.

The “top-tier” and most competitive funds signal the start of Buyside recruiting season by being the first to extend interview invitations.
Microsoft and Activision Blizzard earned a big win in court today, as a federal judge ruled that the Federal Trade Commission cannot block the $68.7 billion merger. The UK Government has published its second Annual Report on the functioning of the National Security and Investment regime, providing high-level statistics on how the regime has functioned over the past year. The report covers the first full year of the regime being in force and reflects the trends already seen through enforcement activity; that scrutiny and interventions remain primarily focussed on China and on transactions related to the military, defence and infrastructure sectors.
How to work with Headhunters Hey All – I’m just going to come out and say it… IF you’re going for PE and thinking about On-Cycle 2025 (which should probably start within 4-8 weeks by our estimates)… Recruiting for On-Cycle is Easier than recruiting for Off-Cycle Think about it They’re going to ask you behavioral questions, technicals, modeling questions, you’ll have a modeling test, they’ll probably ask you why you want to join, why you want to leave banking, why you joined banking, what’s
The European Commission (EC) has formally approved Broadcom’s $61 billion bid for virtualization software giant VMware , with the caveat that Broadcom fulfills certain ongoing commitments around access and interoperability. The megabucks deal, which sits among the biggest tech acquisitions of all time, was always likely to attract regulatory scrutiny when it was announced way back in May last year.

In today’s world of social media, dating apps, and remote work, businesses risk becoming irrelevant (or getting "ghosted") if they fail to meet the evolving needs of Gen Z consumers. Here’s an interesting development on books & records requests that John blogged about last week on TheCorporateCounsel.net: The Delaware Chancery Court recently dismissed a books & records action against The Walt Disney Company premised on alleged breaches of fiduciary duty by the company’s board arising out of its decision to publicly oppose Florida’s “Don’t Say Gay” legislation.
On June 27, 2023, the FTC and DOJ (the Agencies) jointly announced proposed changes to the HSR premerger notification form. The Notice of Proposed Rulemaking, which appeared in the Federal Register, includes provisions that will require parties to submit substantially more information to the agencies. These sweeping proposals, if adopted, would fundamentally alter the merger review process in the U.S., potentially adding many months to deal timelines.
Is It Possible That On-Cycle 2025 Is Around The Corner? Hey All — Rohit here and it’s been a busy couple of days – word has gotten out about Diversity Events at Megafunds already starting for On-Cycle 2025… needless to say we’ve been pretty swamped with inbounds and LOTS of calls happening. San Francisco-based cybersecurity startup Coalition is acquiring Jumbo, a mobile app that lets you control your privacy on the web. I have covered Jumbo several times over the past few years, so it’s time to close the loop on this one. Terms of the deal remain undisclosed, but Jumbo says that its app is no longer going to be updated. Existing users can export social media archives or 2FA codes and the app will be shut down altogether next year In other words, Coalition isn’t necessarily looking

When I first started my job in investment banking, I knew the first month or so would be training before I actually hit the desk and started working with my team. What many young professionals don’t take into account are the SIE or Series exams that you are required to take to become certified as an investment banker. For many people, these exams are taken right before you start your full-time job, though they can be taken at any point in your career if you are pivoting to investment banking lat
Tricentis , a test automation platform that has acquired quite a few testing services and startups over the years, is making another M&A move with the acquisition of Waldo , an automated testing tool for mobile development teams. As of July 12, 2023, the EU’s new Foreign Subsidies Regulation (FSR) began to apply. Deals signed from this date will now fall under the European Commission’s (EC’s) new powers to review subsidies from non-EU states to companies active in the EU. This adds yet another potential regulatory filing to the approval checklist for M&A transactions, alongside regimes such as antitrust and foreign investment.
